1. Introduction

These Standard Terms and Conditions ("Terms") govern your use of our business consultancy services, including business improvement, business planning, and strategic advisory. By engaging our services or accessing our website, you agree to comply with and be bound by these Terms.

3. Services

We provide professional business consulting and advisory services, including but not limited to business plan development, strategic planning, financial analysis, operational improvements, and marketing strategies. All services are tailored to the specific objectives outlined in individual client agreements.

4. Engagement & Scope

• All formal consulting engagements are initiated through a separate written Engagement Agreement or Statement of Work (SOW).
• The SOW will detail the specific scope of services, deliverables, timeline, and associated fee structure.
• Both parties must sign or digitally authorize the agreement before any project work commences.

5. Fees and Payment Terms

• Billing: Fees and payment schedules will be explicitly outlined in the corresponding Engagement Agreement.
• Due Date: Invoices are due upon receipt (or net 15/30 days as specified in your agreement).
• Late Payments: Overdue balances may incur a late fee and interest charge at the maximum rate permitted by Florida law (or 1.5% per month, whichever is lower).
• Suspension of Services: We reserve the right to suspend or terminate services if any invoice remains unpaid past its due date.

6. Confidentiality

• We recognize the sensitive nature of business improvement and proprietary data. Both parties agree to protect and keep confidential any proprietary information, trade secrets, financial data, or business strategies shared during the engagement.
• Neither party shall disclose confidential information to third parties without prior written consent, except as strictly required by Florida or federal law.

7. Intellectual Property (IP)

• Pre-existing intellectual property belonging to either party remains the sole property of that party.
• All custom deliverables, strategic frameworks, and business plans created specifically for the client during the engagement remain the property of JONIMEL SERVICES LLC until full payment of all applicable fees is received.
• Upon full payment, ownership of the final deliverables transfers to the client, while we retain the right to use generalized knowledge, skills, and experience gained during the project.

8. Limitation of Liability & Disclaimers

• Results Disclaimer: Business consulting involves strategic planning and forecasting. We provide recommendations and professional guidance, but we do not guarantee specific financial results, revenue targets, or business outcomes.
• Liability Cap: To the maximum extent permitted by Florida law, our total aggregate liability for any claim arising out of or relating to these Terms or our services shall be strictly limited to the total amount actually paid by the client for the specific services in question.
• Consequential Damages: Under no circumstances shall JONIMEL SERVICES LLC be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, or business opportunities.

9. Termination

• Either party may terminate an ongoing engagement by providing 30 days' written notice to the other party.
• In the event of termination, the client is financially responsible for paying for all services rendered, deliverables completed, and pre-approved expenses incurred up to the effective date of termination.

10. Governing Law and Jurisdiction

• These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by, construed, and enforced in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
• Any legal action, suit, or proceeding arising from these Terms shall be instituted exclusively in the state or federal courts located in Broward County, Florida, and both parties consent to the personal jurisdiction of such courts.

11. Amendments

• We reserve the right to modify or amend these Terms at any time to reflect changes in our business practices or legal requirements.
• Any material updates will be posted on our website and, where applicable, communicated directly to active clients in writing.

12. Entire Agreement

These Terms, combined with your signed Engagement Agreement or Statement of Work, constitute the entire agreement between JONIMEL SERVICES LLC and the client, superseding all prior or contemporaneous oral or written agreements, understandings, and representations.
